Comcast NBCUniversal has announced its intent to create a new publicly traded company ('Versant') comprised of most of NBCUniversal's cable television networks, including USA Network, CNBC, MSNBC, Oxygen, E!, SYFY and Golf Channel along with complementary digital assets Fandango, Rotten Tomatoes, GolfNow, GolfPass, and SportsEngine. The well-capitalized company will have significant scale as a pure-play set of assets anchored by leading news, sports and entertainment content. The spin-off is expected to be completed during 2025.
Job Description
We are seeking an experienced corporate transactions attorney with demonstrated proficiency in supporting commercial/vendor agreements, mergers, acquisitions, divestitures, joint ventures and other strategic transactions and real estate, as well as assisting with securities and corporate governance matters. You will serve as a key strategic partner providing legal advice and transactional support to our procurement, finance and operations teams.
The role provides the unique opportunity to shape the contract operations of a newly formed Media company.
Essential Responsibilities
- Draft, review, and negotiate commercial/vendor agreements in support of Versant’s procurement, facilities and business operations, including master service agreements, vendor and suppler agreements, amendments, and statements and support the rollout of standardized contract processes templates across the organization;
- Create contract summaries for business executives to articulate key provisions of negotiated contracts; advise business leaders on contracting provisions, risks and recommendations;
- Advise on a day-to-day basis on contract status and other contract-related matters;
- Support mergers, acquisitions, joint ventures, investments and other corporate transactions through all stages of a transaction lifecycle, including assessment of potential targets, deal structuring, due diligence, negotiation and deal execution;
- Draft, review, and negotiate transaction documents, including letters of intent, acquisition agreements, joint venture agreements, shareholder agreements and other related transaction documents – individually and in collaboration with outside counsel;
- Coordinate diligence efforts internally and analyze due diligence findings to identify legal risks and develop mitigation strategies;
- Managing and coordinating transaction related issues such as antitrust, securities, tax and accounting, IP, employee benefit plans, employment matters, securities law disclosures regulatory filings and executive compensation;
- Providing ongoing support for investments in the company’s portfolio;
- Providing legal counsel on various aspects of leasing transactions, including lease renewals, assignments, and subleases;
- Organizing and managing real estate acquisition and sale closings; and
- Assist with securities and corporate governance matters, including ’33 Act and ‘34 Act compliance, preparation of board meeting agendas/materials, maintenance of corporate documents and records, managing the annual D&O questionnaire process and supporting with the annual investor engagement program.

- JD from an accredited U.S. law school. Admission to and in good standing with the state bar of at least one U.S. state.
- 8+ years of commercial contract, M&A, real estate and other corporate transactional experience at a top law firm and in-house legal department.
- Strong technical expertise in corporate legal matters and related practice areas including securities and disclosure, antitrust, accounting and tax).
- Demonstrate superior oral and written communication and interpersonal skills, excellent drafting and negotiation abilities, and a keen attention to detail.
- Show an ability to work independently and collaboratively and manage multiple projects in an efficient and timely manner.
- Possess the competence, professionalism, and maturity to effectively advise and interact with senior executives and business unit leaders and have a demonstrated ability to earn their confidence and serve as a trusted advisor. Exhibit excellent business judgment and strategic thinking, with a focus on taking a pragmatic, solution-oriented approach.
- Strong relationship management skills with the ability to develop partnerships and relationships throughout the organization as well as with key external collaborators. A proven track record of building and maintaining relationships with other functional leaders and the business.
- Strong interpersonal and communication skills (verbal and written) with the ability to collaborate across inter-disciplinary teams.
- Strong work ethic and ability to make decisions, multi-task, prioritize, and follow through on numerous projects simultaneously.

- Hybrid: This position has been designated as hybrid, generally contributing from the office a minimum of three days per week. Subject to change based on Manager discussion or business need.
